SWM LLC provides e-commerce management and creative services. The specific deliverables, timeline, and price for any engagement are defined in a written scope or quote agreed between you and SWM LLC before work begins. That scope, together with these terms, forms our agreement.

3. Quotes and payment

• Quotes are provided in writing and are valid for 30 days unless stated otherwise.
• Fixed-scope projects are typically billed up front or in agreed milestones; ongoing management is billed monthly in advance.
• All prices are in USD and exclude applicable taxes and third-party costs such as advertising spend, inventory, and platform fees.
• Payments are processed by third-party payment processors; by paying, you also agree to their terms.

4. Client responsibilities

You agree to provide accurate information, timely feedback, and any access or materials reasonably needed for us to perform the services. Delays in providing these may affect timelines. You confirm you have the rights to any materials you provide to us.

5. Ownership

You retain ownership of your marketplace accounts, domains, and business assets at all times. Final deliverables produced for you become yours on full payment. We may display non-confidential work in our portfolio unless you ask us not to.

6. Acceptable use

You agree not to use our services for any unlawful purpose or in violation of the policies of the marketplaces and platforms involved (such as Amazon, Walmart, Shopify, or advertising networks).

7. Limitation of liability

We provide services with professional care but do not guarantee specific sales, rankings, or revenue outcomes, which depend on many factors outside our control. To the extent permitted by law, SWM LLC's total liability for any claim is limited to the fees paid for the specific service giving rise to the claim.

8. Termination

Either party may end an ongoing engagement with written notice as set out in the applicable scope. Fees for work already performed remain payable.
